The Terms of Service
The following sets out the terms of service which govern your use of and access to our Website, Apps and Services (as defined below) and constitute a legally binding agreement between you and Tripletime Limited (the Terms of Service).
Tripletime Limited is registered in England and Wales under company registration number 15924658 and with its registered address at 14 Severin Court, East Street, London, SE17 2FS, United Kingdom (Tripletime Limited).
Tripletime Limited (Tripletime, we, us, our) is an AI powered toolkit that provides registered medical professionals and specialists (Practitioners) the ability to generate documentation using advanced LLM technology. We own the website www.tripletime.ai and any webpage, subdomain, subpart and variant of that website (the Website). We also own the Tripletime Mac, Windows and associated Apple and Android applications (the Apps). We enable Practitioners to use LLMs to generate various documentation in a fraction of the time it would normally take and to streamline other administrative tasks (AI Services). We also provide related services available through our Website and Apps (together with AI Services collectively referred to as the Services).
The Privacy Policy is incorporated by reference into these Terms of Service.
You, your, user refers to any person or legal entity that accesses or uses the Website, Apps or the Services. These include users who have registered with an account on the Website or Apps.
By accessing and/or using the Website, Apps and Services (together, the Platform) you agree to these Terms of Service. You confirm that you have the power and authority to enter into, be bound by, and deliver and perform the obligations under, these Terms of Service. You must not use the Platform if you do not agree to these Terms of Service.
Accounts and Registration
To use the Platform, you must create an account (Account). By doing so, you confirm that you:
- have the legal capacity to enter into a binding agreement with us; and
- agree to use the Platform as outlined in these Terms of Service.
When registering for an Account, you warrant and agree to provide accurate and correct information, including your name, employment, and contact details. We collect this data to operate the Platform and ensure user safety. Your personal information will be protected in accordance with our Privacy Policy.
You are solely responsible for all activity on your account and you agree to keep your password and login details confidential. You agree to notify us of any breach of security or unauthorised access to your account.
Access to and use of the Website and Apps
We have the right to suspend, amend or revoke access and use of our Website or Apps without notice. We grant you a personal, non-transferable, non-exclusive and revocable limited right to access the Platform.
We have the right to limit access to the Website or Apps, or any part of the Website or Apps, to a registered user.
By using and accessing the Website and Apps you warrant and agree that you will:
- comply with all applicable laws and professional obligations in connection with these Terms of Service and your use of the Platform;
- receive consent from your patient to share personal and sensitive information with Tripletime if it is mandatory in your jurisdiction;
- cooperate and comply with all reasonable directions from Tripletime in relation to your use of the Platform;
- notify Tripletime immediately if you become aware of any actual or potential defect in the Platform and any complaint reported by any other person in connection with Tripletime; and
- comply with these Terms of Service at all times.
By using and accessing the Website and Apps you warrant and agree that you will not:
- breach or attempt to breach any national or international laws or relevant rule or regulation;
- violate any confidentiality, copyright, trademark or other proprietary interest without the explicit consent of the right holder;
- in any manner expose or infect the Website or Apps or its users’ devices with any viruses or malware or any other code that interrupts or damages the Platform;
- otherwise interfere with or damage the Website or Apps and related services in any way. This includes, but is not limited to, attempting to overload, crash or spam the Website or Apps and its users;
- Provide inaccurate data or false or misleading information to Tripletime or any person through the Platform;
- frame, mirror, or otherwise incorporate any part of the Platform into any other website, app or service without our written consent. For the avoidance of doubt, this includes creating any deep-link;
- attempt to reverse engineer, modify, create derivative work or translate the Platform or any software we use, except as permitted by applicable copyright laws;
- distribute, sub license or otherwise transfer all or any part of the Platform to any other person;
- grant any security interest over Tripletime or the Platform;
- use the Platform and any content provided through the Website or Apps, for any commercial or competitive purpose, except as specifically allowed in these Terms of Service or our written consent;
- commit any act that would have an adverse impact on the reputation or standing of Tripletime; or
- circumvent any security features, including but not limited to those that prevent unauthorised access to a user’s account.
The Platform may require the use of software, applications, data, services, or content that is provided to Tripletime by third parties (Third Party Functionality).
You agree to comply with any reasonable additional terms notified to you by Tripletime in respect of the use of Third Party Functionality, or outputs of such functionality. If you do not agree to comply with those terms we may need to cancel or terminate your Account, or you may cancel or terminate your Account.
Where required by law, you will maintain records and documents related to your interaction with and use of the Platform.
Services
Tripletime supports Practitioners in providing healthcare services through features outlined on our Website and Apps.
The AI functionality within the Website and Apps is designed to assist Practitioners in administrative and clinical decision-making processes. While the AI can provide insights and recommendations based on available data, it is imperative to understand that the final responsibility for all professional and medical decisions related to patient diagnosis, advice, treatment or the quality or accuracy of medical notes rests solely with the Practitioner.
We may update or modify the Platform or add new features at our discretion. Such updates may require additional terms or fees, which will be communicated to you.
These Terms of Service take effect when you start using the Platform and remain active until terminated by you or us, as specified in these Terms of Service.
Privacy and data use
Both parties must comply with applicable privacy laws, including without limitation the General Data Protection Regulation in the European Union, the Personal Information Protection and Electronic Documents Act in Canada, the Health Insurance Portability and Accountability Act in the United States, and any other relevant privacy law.
Without limiting paragraph 5.1, you must ensure that you hold all necessary authorisations and consents from individuals, including patients, to disclose their personal information, including sensitive information, to Tripletime so that Tripletime may collect, use, store and disclose personal information, including sensitive information, for the purpose of operating the Platform and as described in our Privacy Policy, without you or Tripletime infringing any law or the rights (including the intellectual property rights, moral rights or privacy rights) of any individual.
The Platform has been developed to comply with the majority of international regulations including HIPAA and GDPR. Users outside of the US, UK, EU or Canada are responsible for ensuring that their use of the Platform complies with all applicable local, state, national, and international laws and regulations governing the use of the Platform within their jurisdiction.
Practitioners using the Platform must adhere to all data privacy and security protocols established by Tripletime to protect patient information and maintain the confidentiality of healthcare data as outlined within.
Notice of personal information collection
We collect, use, store and disclose personal information about you and patients in order to provide you with use of the Platform and for the purposes set out in our Privacy Policy. If you would like any further information about our Privacy Policy you can contact us at [email protected].
By providing your personal information to us, you consent to the collection, use, storage, and disclosure of that information as described in these Terms of Service and our Privacy Policy.
We may disclose personal information to third parties that help us deliver our services or improve the Platform (including to software developers, information technology and communication suppliers and our business partners) or as required or permitted by law.
If you do not provide this information, we will not be able to provide the Platform or related services to you.
Tripletime may de-identify information, including health information, that is made available to us in connection with the Platform and use or disclose such information in a de-identified form to make relevant functionality available to you; and as otherwise described in our Privacy Policy. You acknowledge that this may involve disclosure of de-identified information to third parties as part of making the Platform available to you.
Fees and payments
Access to the Website and Apps may require a subscription fee as advertised on our Website or as separately agreed with you (Subscription Fee), payable in advance for your selected period (Subscription Period).
The Subscription Period renews automatically unless canceled before the then current Subscription Period ends. The cancellation will take effect the day after the last day of the then current Subscription Period. Refunds are not offered for partial periods unless explicitly stated.
We may vary the Subscription Fee on reasonable advance notice with the varied Subscription Fee to apply at the start of the next Subscription Period.
Access to new or enhanced features may involve additional charges, agreed upon before your use.
We do not control any fees charged by your bank and/or credit card company, including fees for transactions in foreign currencies.
Intellectual Property
You agree that all material provided through and contained in the Services or otherwise made available on the Website or Apps (including but not limited to design, formatting, images, videos, names, text and other content (collectively, Content)) (Platform Content) is protected by copyrights, database rights, trade secrets, trademarks, or other intellectual and proprietary rights.
You agree not to sell, modify, license, copy, distribute, publish or post any Platform Content on any other website or online environment.
You agree that any suggestions for modification or change to the Services and any other information or feedback provided to us by you (Suggestions), is the property of Tripletime.
Any modification or enhancement developed or made by us relating to the Suggestions (Modifications) is the property of Tripletime.
You agree to assign to Tripletime any interest or right (including any intellectual or proprietary right such as, but not limited to, copyright, trade secret, trademark or know-how) that you may have in any Suggestions or Modifications. At our request you will use your best endeavours to execute any formalities, registrations or documents to give effect to paragraphs 8.3 to and including 8.5.
You grant to Tripletime a non-exclusive, worldwide, perpetual, irrevocable, royalty-free, sublicensable licence and authority to use the de-identified material you provide or otherwise make available to Tripletime for the purpose of us making the Platform functionality available to you, and as otherwise permitted by these Terms of Service.
Confidential Information
You must not disclose any Content or confidential information communicated by us, or accessed, learned, or created through these Terms of Service, the Platform, its content, or related services (Confidential Information), except:
- to your employees who require the information;
- if legally mandated; or
- if the information was independently obtained from a third party who obtained such information without a breach of confidentiality.
Publicly available information (other than as a result of a confidentiality breach) is not considered Confidential Information.
You must safeguard the Confidential information in strict confidence and use all reasonable efforts from unauthorised or inadvertent disclosure, including without limitation all steps you would take to protect your own proprietary data and/or confidential information. You must notify us immediately of any suspected or actual security breaches regarding Tripletime, the Platform or related services.
Medical limitations
You agree to use the Platform, its content, and related services exclusively to support your administrative processes. All medical and professional decisions regarding patient diagnosis, advice, or treatment remain your responsibility.
You further acknowledge and agree that Tripletime, the Platform and the related services do not:
- qualify as or appear to be a medical device;
- constitute professional medical or healthcare advice, diagnosis or recommendation of treatment, or to replace professional medical advice;
- directly improve, maintain or assess the physical, mental or emotional health of a patient; or
- directly treat or diagnose a patient’s illness or disability.
You agree not to suggest or imply that Tripletime or the Platform content constitutes medical or healthcare advice, a diagnosis or recommendation of treatment or that it can replace or be relied upon as professional medical advice (including any representation or warranty with respect to any treatment, action, suitability or application of medication, preparation by any person or health service).
You agree not to suggest or imply that Tripletime or the Platform content can be relied upon without independent consideration and confirmation by a qualified medical practitioner.
We make no representations or warranties with respect to any treatment, action, suitability or application of medication or preparation by you or any person whether based on Platform Content or not. In no circumstances will we be liable for any direct, indirect, consequential, special, exemplary or other damages, however arising, from the same.
You must notify us if you become aware of any problem or incident associated with Tripletime or the Platform that has caused, or could cause, harm to patients or others; or any deficiencies or potential deficiencies in safety, quality, efficacy, presentation or performance of Tripletime or the Platform.
Liability
You acknowledge that the Platform uses artificial intelligence and machine learning which is provided by a third party. While we aim to improve the accuracy and quality of the outputs it provides, it may provide content that is inaccurate, incomplete or inappropriate. It is your responsibility to evaluate the accuracy of any content, including by undertaking a manual review of the output, to ensure that it reflects the inputted material, before such content is used or relied upon.
We are not liable for any (i) interruptions of the internet and associated infrastructure which affects access to the Website, Apps and the Services; and (ii) failure to perform any of the obligations we have under these Terms of Service due to matters which are beyond our reasonable control.
We may need to perform maintenance on our Website or Apps from time to time and cannot guarantee that the Website or Apps will always be accessible and available. The Website and Apps are provided on an “as-is” and “as-available” basis.
We are not liable if our Website or Apps are not available for any period of time, irrespective of the reason.
We do not warrant that the Website or Apps are free from viruses or any other damaging or malicious computer programs.
We are not responsible for any loss, damage or disruption to your data or electronic system or device that might happen when you use the Platform.
To the extent permitted by law we exclude (i) all warranties, conditions and other terms otherwise implied by law or equity; (ii) any liability for an indirect, consequential or direct loss or damage (including, but not limited to, loss of profits; income; business; data; goodwill; management or office time; and any other loss or damage howsoever arising and whether caused by breach of contract, negligence or another tort, or otherwise, even if it was foreseeable) incurred by any user in connection with our Platform, or any Content or websites linked to by our Website, Apps or in the Services.
Nothing in these Terms of Service limits our liability for (i) death; (ii) personal injury caused by our negligence; (iii) fraudulent misrepresentation; or (iv) any liability which cannot be limited or excluded under applicable law.
Without limiting the rest of this clause 11, and to the extent permitted by law, the aggregate liability of Tripletime for loss sustained by you in connection with these Terms of Service during any consecutive twelve month period from the commencement of these Terms of Service and from any anniversary of the commencement date, as appropriate, is limited to the Subscription Fees collected by Tripletime for that period.
Indemnification
To the maximum extent permitted by law, you agree to indemnify, release and defend (at our option) Tripletime, our subsidiaries or holding companies that exist at the relevant time (Group), and any of our or their directors, officers, employees and agents from and against any causes of action, demands, claims, recoveries, damages, liabilities, losses, fines, penalties or other costs or expenses of any kind (however arising and whether present or future, fixed or unascertained, actual or contingent) including, but not limited to, reasonable legal and accounting fees relating to or arising from:
- any claim made by a patient related to your actions or omissions, except where caused by unlawful or wilful misconduct by Tripletime or the Group;
- any negligence or breaches of or failure to comply with applicable laws or professional obligations, including privacy laws, by you in connection with these Terms of Service;
- fraudulent, negligent, willful or unlawful acts or omissions by you or your personnel;
- any real or personal property damage, injury, or death caused to us or our Group by you or your personnel's negligence or willful acts or omissions under these Terms of Service;
- your use of the Platform and its content in connection with these Terms of Service, except to the extent the loss arises from the unlawful or willful misconduct by Tripletime or by the Group; and
- any infringement or misappropriation of intellectual property rights in connection with Tripletime or the Platform by you or your personnel, unless caused by Tripletime’s actions or that of the Group’s.
Term and Termination
We have the right to amend and vary the Terms of Service at any time and it is up to you to check whether any changes have been made. If you use or access the Website or Apps after these Terms of Service have been updated, then you will have accepted the changes made.
These Terms of Service will remain in effect until terminated in accordance with this clause 13.
Without prejudice to clause 3.1 or 13.5, we may terminate the Terms of Service for convenience at any time by giving you reasonable notice to your registered email address.
You may terminate your agreement to the Terms of Service at any time by sending us an email at [email protected].
We may terminate the Terms of Service and/or cease providing access to the Website or Apps without notice if we believe in good faith that (i) you have violated applicable laws, regulations or third party rights; (ii) you have breached your obligations under these Terms of Service; or (iii) it is necessary to protect the property, personal safety or rights of Tripletime, its users or third parties.
To the maximum extent permitted by law, we will not be responsible for any loss, cost, damage or liability that may arise as a result of us terminating your access to the Platform pursuant to these Terms of Service.
Where practicable, we will provide you with reasonable notice of any outages or suspensions of the Platform.
On termination or expiry of these Terms of Service:
- you must pay all relevant outstanding fees or other amounts (including under an indemnity) due under these Terms of Service;
- the licence granted by Tripletime to you under clause 3.1 will cease and we shall cease providing (and you shall cease using) the Platform and related services;
- to the extent permitted by law, you must (at our request) return or destroy all copies of Confidential Information retained in your systems or otherwise in your possession or control;
- to the extent permitted by law, we may in our discretion, delete any data, content or materials which have been provided to us; and
- this will not affect any accrued rights, and rights and obligations which are intended or which by their nature survive termination will continue to have effect.
Links to third party websites
The Website and Apps may have links to third party websites that are not owned or operated by us. We are not responsible for the content on those websites and the act of linking to those websites does not imply our endorsement of the material contained on those websites or of the controllers or owners.
Our relationship
Each party is acting in the capacity of an independent contractor. These Terms of Service do not constitute any partnership, trust, agency, joint venture or employment relationship between the parties.
Neither party has the authority to act, contract or to incur any obligation or responsibility on behalf of the other party except as provided in these Terms of Service.
Translation feature
The ability to translate inputs into or from other languages within the Platform enables Practitioners to take input from one language and generate notes in another language.
Translation is provided on an “as-is” basis and without warranties of any kind, either express or implied. You acknowledge that the translation may not be free from errors or inaccuracies and is not intended to provide medical advice.
Users are responsible for reviewing and verifying the accuracy of the translated content. The feature is intended to be used by Practitioners who are fluent in both the input and out languages of the translation.
Governing law
These Terms of Service are governed by and construed in accordance with the laws of England and Wales.
Any dispute which relates to these Terms of Service, or your use of the Platform, will be subject to the exclusive jurisdiction of the courts of England and Wales.
General
We may decide not to exercise or enforce any right available to us under these Terms of Service. Doing so does not waive our rights and we reserve our ability to exercise or enforce that right at a later date.
If any of the provisions in these Terms of Service are found to be invalid, illegal or unenforceable for any reason, then that provision will be replaced by an enforceable and valid provision that matches the intent of the original provision as far as possible, and the remaining provisions will continue to be enforceable and in full effect.
If you do not agree to abide by these Terms of Service then you are required to stop using the Website or Apps.
We have the right to assign or subcontract any or all of our rights and obligations under these Terms of Service to a third party. If we choose to use this right, then you will have the option to terminate your account within 7 days. You are not permitted to assign or dispose of any right or obligation under these Terms of Service without our written consent.
Clauses 10 (Medical Limitations), 11 (Liability), 12 (Indemnification), 13 (Term and Termination), 17 (Governing law), and 18 (General) will survive any termination of the Terms of Service.
